Corporate Bodies

systaic AG's Corporate Bodies are the Executive Board, the Supervisory Board and the Shareholders' Meeting. The responsibilities of these bodies are regulated by the German Companies Act (Aktiengesetz), the company articles and the rules and regulations of the Executive Board and the Supervisory Board.

As a German public stock corporation, the management structure and articles of incorporation of systaic AG are governed by equity and capital market law. Accordingly, a dual management and supervisory structure is prescribed consisting of the Executive Board and the Supervisory Board.

Michael Pack, degreed engineer
Michael Pack, who has a degree in industrial engineering, has had a number of positions during his professional career, including five years as sole managing director of and spokesperson for VELUX Deutschland GmbH, the global market leader for skylights. During his time at VELUX, Mr. Pack serviced all target groups of the VELUX Group and was responsible for sales, marketing, customer service and human resources. Before joining VELUX, Mr. Pack's positions also included three years as marketing director and head of the Panel division at Pfleiderer AG, Neumarkt. Mr. Pack joined the management team of systaic Deutschland GmbH on 1 October 2007 where his responsibilities included in particular marketing and customer service. On 1 April 2008 Michael Pack was appointed as CEO of systaic AG. On 6 August he became a Member of the Executive Board and is responsible for marketing and sales. Mr. Pack's appointment as Member of the Executive Board runs until 31 March 2011.

Mandates:
Michael Pack did not have any other mandates in the sense of Art. 125 (1) Sentence 3 AktG in financial year 2009.
